Bilfinger Berger Services (Australasia) Pty Ltd is pleased to announce the appointment of Ms Louise Hicks as a director of the company and its subsidiaries.

Appointed a senior executive of the company in 2006, Ms Hicks has assumed the role of Executive Director Corporate Services.

Bilfinger Berger Services Managing Director, Mr Mark Elliott, said Ms Hicks is an experienced company director, commercial lawyer and chartered accountant with senior management experience in mergers, acquisitions and financing.

“Louise will bring considerable financial, management and corporate governance expertise to her directorship of Bilfinger Berger Services (Australasia) Pty Ltd and its subsidiaries,” Mr Elliott said.

Ms Hicks was formerly a Director of Ngarda Civil and Mining Pty Ltd, a Director and Audit Committee Chairman of the South Australian Superannuation Funds Management Corporation, Chairman of Flinders Consulting Pty Ltd and Deputy Chairman of the Resource Industry Development Board of South Australia.

Ms Hicks also served as Company Secretary and Corporate Counsel to the engineering and mining group, Henry Walker Eltin Group Limited.

Specialist engineering contractor Bilfinger Berger Services has formed a new Engineering and Construction division and appointed Robert Fletcher to lead it.

As newly appointed Executive Director, Engineering and Construction, Mr Fletcher is responsible for overseeing major projects, all design and construction projects and new business development opportunities.

“Bilfinger Berger Services has virtually limitless opportunities in the marketplace. Currently there are demands for building resources quickly and we need to attract new people to further expand and take advantage of the opportunities,” said Mr Fletcher.

“I am delighted to be given this opportunity. I am most looking forward to getting out and about with the people and sharing the excitement of the opportunities the marketplace is presenting.”

The Engineering and Construction division will work on major projects such as two gas-fired power stations in Neerabup, Perth and Uranquinty, Wagga Wagga, as well as a fuel terminal at Botany and the Sugar Australia refinery upgrade in Melbourne. Engineering and Construction has recently started a new study for the upgrade of the Sarina ethanol plant in Queensland.

In this position Mr Fletcher will also be responsible for overseeing the new acquired electrical engineering and manufacturing company, i.Power Solutions.

Mr Fletcher is an engineer with over 30 years experience in engineering and construction contracting to a wide range of clients in a variety of industries.

Initially a trainee engineer with the Electricity Commission of New South Wales through university, Mr Fletcher’s career has developed in engineering and construction companies with roles that included engineering, business development and general management. Mr Fletcher spent 15 years with Simon Engineering on projects ranging from copper smelters to power stations.

Bilfinger Berger Services acquires Clough Engineering & Maintenance February 5, 2008

Specialist contractor Bilfinger Berger Services today announced the acquisition of Engineering and construction company Clough Limited’s (ASX:CLO) wholly owned subsidiary, Clough Engineering & Maintenance Pty Ltd (CEM).  

The acquisition provides Bilfinger Berger Services access to the NSW and QLD power generation maintenance sector, providing a strong geographic presence in both states. It also strengthens Bilfinger Berger Services’ considerable industrial services business.

Bilfinger Berger Services has been contributing to the power industry for over 50 years in Australia. The CEM acquisition enables Bilfinger Berger Services to offer a more comprehensive operations and maintenance solution to the power generation market across Australia.

Managing Director of Bilfinger Berger Services, Mark Elliott said the acquisition is part of a long standing strategy to expand the company’s industrial maintenance capability into the power generation market.

“This acquisition will expand our operations in the Queensland and NSW power market and provide CEM and its clients with access to our local and international expertise.”

“The power sector has been under invested for decades and Bilfinger Berger Services will be moving further into providing services to the power industry,” said Mr Elliott.

Clough’s CEO, John Smith, commented “Over the last two years CEM has been successfully restructured and has secured both the renewal of existing multi-year service contracts and the acquisition of new clients. However, Clough is primarily focussing on the oil and gas sector, minerals and water infrastructure and CEM’s power station business was not an ideal fit with our strategic model.”

CEM brings with it a number of blue chip clients and 150 highly skilled staff specializing in service delivery to the power generation sector. All existing CEM personnel will transfer over to Bilfinger Berger Services.

The decision to acquire CEM was also based on the ‘cultural fit’ with Bilfinger Berger Services’ existing business. “A business is its people, when we acquire a business our focus is therefore on ensuring we manage the human issues well. As a result of this approach, previous acquisitions have contributed significantly to our growth rate which is in excess of 50% over the last three years,” said Mr Elliott.
